In their article, the authors explain that, as alternative assets become increasingly sophisticated, the legal opinion has become the key document for allocating and mitigating legal risks. Unlike a local legal report, this formal opinion—rooted in the Anglo-Saxon legal tradition—does not assess facts or factual circumstances, but rather reaches legal conclusions regarding the validity, existence, and enforceability of a transaction. They argue that requiring this document from fund structurers is now a market standard and a best practice for investors and family offices in Chile. The concept of reliance grants investors the right to rely on the opinion's conclusions and establishes a direct legal relationship with the issuing law firm. While it does not guarantee investment performance, it reduces structural legal uncertainty by creating direct accountability, protecting against contingencies, and providing financial backing through professional liability insurance, adding a critical layer of security to the due diligence process.
