Felipe Díaz Toro is the Managing Partner and Founder of EDN Abogados. His career has been marked by international experience and specialisation in investment funds. A significant part of his professional career has been spent in the United States and Europe, first as a legal advisor at BBVA Bank in New York, and later as an associate at Arendt & Medernach (the largest law firm in Luxembourg) and Loyens & Loeff (one of the most important law firms in Europe), where he became a senior associate.

His practice consists mainly in advising international and local clients on various transactions related to investment funds (and in particular alternative assets), mergers and acquisitions, tenders, asset and company purchases, joint ventures, private equity transactions, equity and debt issues, derivatives, and the development and financing of projects on behalf of financial institutions and corporations.

Felipe is the only Chilean lawyer who has been authorized to practice simultaneously inChile, Spain and Luxembourg, and has been regularly recognized by leading international rankings such as Chambers & Partners and LeadersLeague, among others.

He is a visiting professor at the University of Chile Law School, teaching courses on investment funds and alternative assets. He is also director of the Belgo-Luxembourg Chamber of Commerce A.G. (BELGOLUX) in Chile and regularly participates as a panelist at international conferences on investment funds and alternative assets.

Representative Experience

  • He regularly advises Chilean pension fund administrators (AFP) on their direct investments in foreign alternative investment funds, conducting detailed reviews and analyses of the documentation of various funds (established in Luxembourg, the Cayman Islands, Delaware, among other jurisdictions), negotiating side letters, preparing due diligence reports and legal opinions, enabling the AFPs to comply with applicable regulations and successfully achieve their investment objectives.
  • He regularly advises Latin American managers on the structuring of investment vehicles abroad, in jurisdictions such as Luxembourg, the Cayman Islands, the British Virgin Islands and Ireland(among others).
  • As part of his commitment to strengthening cross-border ties and promoting commercial relationships that encourage investment in alternative assets, he has conducted training sessions on investing in foreign alternative assets for pension fund managers and regulators in Latin America (e.g., the Superintendency of Pensions of CostaRica).
